Innovation Tour 2016 Terms and Conditions

Before completing the Innovation Tour 2016 Registration Form, please read these terms and conditions.

By checking the box above and registering for OpenText Innovation Tour 2016 (the "Conference"), on behalf of yourself and on behalf of all individuals and entities for which you are completing this registration (each an "Attendee"), you agree to the following:

Open Text Corporation ("OpenText") and its audio-visual and photography vendors will be taking photographs and making video and audio recordings throughout the Conference. OpenText and its employees shall have the right to take videos (including audio recordings) and/or photographs of Attendees during the Conference (collectively the "Recordings") and to use the Recordings in any and all media, now or hereafter known, and exclusively for the purposes of promoting the Conference and other OpenText customer events. Each Attendee further consents that its name and identity may be revealed therein or by descriptive text or commentary.

Each Attendee: (i) hereby grants to OpenText, and employees his/her consent to exhibit the Recording in print and electronic form publicly or privately and to market and sell material relating to the Conference and other Open Text customer events containing copies of such Recordings; (ii) grants his/her consent to use the Attendee’s identity or likeness in whatever media used; and (iii) understands that there will be no financial or other remuneration, including reimbursement of expenses, for the consent or use related to the Recording which are granted to OpenText herein.

There is no fee to register for the Conference and Attendees are responsible for their own costs, such as, but not limited to, travel, accommodations, service charges or taxes, which are the sole responsibility of each Attendee. OpenText makes no representations or warranties as to the adequacy, safety or security of the facilities where the Conference will be held, and OpenText will not be liable for any personal injury, death, property damage, theft or other losses arising out of Attendee’s participation in the Conference, unless caused solely by OpenText or its employees. Attendee will indemnify and hold OpenText, its officers, directors, employees, and/or shareholders, harmless from and against any and all damages arising out of personal injury or property damage caused by the negligence or willful misconduct of Attendee or its authorized agents relating to Conference, except to the extent such damages are caused by OpenText or its employees. OPENTEXT DISCLAIMS ALL EXPRESS, IMPLIED OR STATUTORY WARRANTIES AND ALL DIRECT, CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, WHETHER LIABILITY IS BASED IN CONTRACT, TORT, EQUITY, AT LAW, OR UPON ANY OTHER THEORY OF LIABILITY, EVEN IF OPENTEXT HAS BEEN ADVISED OF THE POSSIBILITY OF THE FOREGOING. These terms and conditions shall be governed by the laws of the State of Delaware excluding its conflicts or choice of law rules, and all related litigation shall occur in the courts located in such jurisdiction.

OpenText shall not be liable for any failure or delay in the Conference to the extent the failure or delay arises as a result of acts of God, fire, disaster, explosion, vandalism, storm, adverse weather conditions, strikes, labor disputes or disruptions, epidemics, wars, national emergencies, riots, civil disturbances, shortages of materials, actions or inactions of government authorities, terrorist acts, lockout, work stoppages or other labor difficulties, border delays, failures or interruptions of utilities or telecommunications equipment or services, system failures or any other cause that is beyond the reasonable control of OpenText.

The individual completing this Registration represents that (i) all Attendees are at least 18 years of age, have read and understand the foregoing terms and conditions, and are competent to agree to the terms and conditions herein, and (ii) such individual has all requisite authority to agree to these terms and conditions on behalf of all Attendees.
